Partner program commercial policies

The general rules of the Instfy Partner Program: opportunity registration, channel conflict, commissions, pricing, brand, ethics, data and payments.

Clear rules protect the partner, the client and Instfy. This page brings together the general guidelines that apply to all program models. They guide day-to-day work, but they do not replace the agreement.

Reviewing and signing a commercial proposal
Reviewing and signing a commercial proposal
⚠️

The signed partnership agreement prevails. Percentages, timelines, amounts, payment terms and rules specific to your model are in the agreement. If anything here differs from your agreement, the agreement applies.

Principles

  • Transparency: with the client, with Instfy and among partners.
  • Client first: the right sale is the one that solves a real client problem.
  • Truth about the products: only what is available is sold as available.
  • Respect for others' work: an opportunity registered by a partner belongs to that partner, within the rules.
  • Ethics and legality: no sale justifies breaking the law or these policies.

Opportunity registration

Registration guarantees the opportunity is yours.

  • Register before approaching. Registration must be done before the first commercial contact with the client about Instfy offerings, through the process set out in the agreement (usually by email to relationship@instfy.com).
  • Provide the minimum needed: company, industry, main contact, offering of interest and current situation.
  • Instfy confirms the registration. The opportunity is only considered registered after confirmation.
  • Registration has a validity period, defined in the agreement. If the opportunity does not progress within that period, the registration may expire or be renewed with justification.
  • Bulk registration does not count. Lists of companies with no identified contact or need do not constitute opportunities.

Channel conflict

  • The first valid registration prevails. When two partners present the same opportunity, priority goes to whoever made the first confirmed registration that is still within its validity period.
  • Clients already served by Instfy or in direct negotiation with Instfy cannot be registered as a new opportunity, except for a new workstream agreed in advance.
  • Instfy arbitrates. In case of conflict, Instfy reviews the registrations and history and communicates the decision to the parties.
  • The client chooses. If the client asks to be served by another partner or directly by Instfy, their wishes are respected, and compensation is handled according to the agreement.

Commissions

  • When it is due: the commission is due after the client pays Instfy for the service or product sold. A signed but unpaid sale does not generate commission.
  • Recurring: for models and products with recurring commission, it is paid while the client remains active and current on payments, according to the agreement.
  • Clawback: in case of cancellation, refund, return or chargeback, the corresponding commission may be deducted from future payments or returned, according to the agreement.
  • Calculation basis: defined in the agreement, usually on the amounts actually received, excluding taxes and pass-throughs to third parties when applicable.
  • Amounts and percentages: defined in the partnership agreement for each model and offering.
  • Statement: Instfy periodically reports the commissions calculated, in the manner defined in the agreement.

Pricing and discounts

  • Only Instfy sets prices and approves discounts. The partner cannot offer commercial terms different from those approved.
  • Public ERP Instfy plans can be viewed at erp.instfy.com/pricing. For other products and services, the price is stated in the proposal.
  • Do not promise gifts, bonuses, timelines or special terms on behalf of Instfy.

Proposals

  • All proposals are issued by Instfy, including those for the Discovery and the Instfy Project.
  • The partner may take part in the presentation, as agreed for each opportunity.
  • The partner does not sign contracts on behalf of Instfy, unless expressly authorized in writing as provided in the agreement.

Brand usage

  • Use the Instfy brand and the product brands (ERP Instfy, Instfy AI, Instfy Data, Instfy Rewards, Carbon by Instfy) only to promote the partnership and the offerings, within the guidelines provided during onboarding.
  • Do not alter logos, colors or names, and do not create brands, domains, profiles or email addresses that could be confused with official Instfy channels.
  • Present yourself as an Instfy partner, never as an employee or legal representative, unless the agreement provides for it.
  • The right to use the brand ends when the partnership ends.

Communication and advertising

  • Posts, ads, events and materials that mention Instfy require prior approval.
  • Do not publish prices, results, testimonials or client names without written authorization.
  • Do not use spam, purchased lists without a legal basis, misleading messages or persistent contact with anyone who asked not to be contacted.
  • Describe products according to Instfy Docs. Features that are coming soon or on the roadmap must be presented as such.

Ethics and anti-corruption

  • It is prohibited to offer, promise or give any improper advantage to any person, public or private, to obtain business.
  • In sales to the public sector, follow public procurement law and the rules of each agency.
  • Disclose to Instfy any conflict of interest, such as a family or ownership relationship with the client.
  • Gifts and hospitality must be modest, occasional and transparent.
  • Instfy may terminate the partnership in case of violation, without prejudice to any applicable legal action.

Confidentiality

  • Information about the client, Instfy and other partners received during the partnership is confidential.
  • Use this information only for the opportunity or project in question.
  • The confidentiality obligation continues after the partnership ends, for the period defined in the agreement.

Data protection

The partner must handle personal data with the same care as Instfy, following the principles of the LGPD in Brazil, the GDPR when there are data subjects in the European Union and United States privacy laws, such as the CCPA, when applicable.

  • Purpose: collect and use data only for the opportunity in question.
  • Necessity: share with Instfy only what is needed to move the sale forward.
  • Legal basis and transparency: have a legal basis for the contact and tell the data subject where the data came from when asked.
  • Security: do not send lists or personal data through insecure channels and never ask for passwords.
  • Data subject rights: forward requests for access, correction or deletion of data to dpo@instfy.com.
  • Incidents: notify Instfy immediately in case of loss or leak of data related to the partnership.

Exclusivity

  • The partnership is not exclusive by default. The partner may work with other companies, and Instfy may have other partners in the same region or industry.
  • Exclusivity by territory, industry or account only exists when expressly provided for in the agreement, with the corresponding targets and conditions.

Payments

  • Commissions and other amounts are paid upon issuance of a nota fiscal (Brazil) or an invoice (United States and other countries), in the name of the individual or company specified in the agreement.
  • Timelines, frequency, currency, payment method and tax withholdings are defined in the agreement.
  • The partner is responsible for their own taxes, according to applicable law.

Ending the partnership

  • Either party may end the partnership under the conditions and with the prior notice defined in the agreement.
  • Instfy may terminate immediately in case of violation of these policies, the law or the agreement.
  • After termination, commissions on sales already made and recurring commissions are handled according to the agreement.
  • The partner must stop using the brand, return or delete confidential information and stop promoting the partnership.

Frequently asked questions

How long is an opportunity registration valid?

The registration validity period is defined in the partnership agreement. If the opportunity does not progress within that period, the registration may expire or be renewed with justification.

What happens if another partner registers the same client?

The first confirmed registration that is still within its validity period has priority. In case of doubt or conflict, Instfy reviews the registrations and history and decides, informing the parties.

When do I receive my commission?

After the client pays Instfy for what was sold, according to the timelines and frequency defined in the agreement, upon issuance of an invoice (a nota fiscal in Brazil).

Can I give a discount to close a sale?

No. Only Instfy sets prices and approves discounts. If the client asks for special terms, forward the request to the Instfy team.

Can I announce on social media that I am an Instfy partner?

Yes, after signing the agreement and following the brand guidelines received during onboarding. Ads, materials and posts with commercial content require prior approval.
